The M.A.D. Music Community Artist Agreement

This Artist Agreement (“Agreement”) is between you (“Artist”) and The M.A.D. Music Community (“M.A.D.,” “we,” or “us”). By accepting this Agreement, you may use the M.A.D. platform to upload, display, promote, and sell downloads of your music.

1. Ownership & Rights

You represent and warrant that you own or control all rights in and to every track, video, image, bio, and other content you upload (“Content”), including copyrights, trademarks, publicity rights, and performance rights. You must have written permission from every co-writer, producer, featured artist, sample rights holder, and publisher before uploading.

2. License to M.A.D.

You grant M.A.D. a non-exclusive, worldwide, royalty-free license to host, display, reproduce, transcode, stream, and deliver downloads of your Content solely for the purpose of operating the platform, fulfilling customer orders, and promoting your profile. You may remove Content at any time, except we may retain copies needed to complete pending purchases or satisfy legal obligations.

3. No Guaranteed Outcome

M.A.D. provides a self-service platform. We do not promise any number of plays, views, sales, placements, marketing outcomes, or earnings. Optional paid services (video production, marketing packages) are sold separately and are not guaranteed to produce any specific result.

4. Payments & Payouts

• Fan downloads are priced at $0.99 USD unless you set a different price. M.A.D. retains a 30% platform commission on the gross transaction amount; you receive 70% as your artist share.
• Stripe processing fees, Stripe Tax, refunds, chargebacks, and currency conversion costs are deducted before net proceeds are split.
• Payouts are made instantly at the moment of each sale to your connected payout account. You are responsible for providing accurate payout and tax information.
• All sales are final. Once a fan purchases and downloads an MP3 from your profile, the sale is complete and no refund, return, or money-back guarantee will be issued. You authorize M.A.D. to clearly communicate this no-refund policy to every purchaser at checkout.

5. Taxes

You are solely responsible for reporting and paying all income, sales, use, VAT, and other taxes owed on your earnings. M.A.D. may collect and remit sales tax on your behalf through our payment processor, but this does not relieve you of your tax obligations.

6. Content Standards

You may not upload Content that:

• Infringes any third-party intellectual property or other rights;
• Is defamatory, obscene, harassing, hateful, or illegal;
• Contains malware, viruses, or deceptive metadata;
• Violates any applicable law or platform policy.

M.A.D. may remove or disable Content that violates this Agreement and may suspend or terminate your account for repeated or serious violations.

7. Indemnification

You agree to indemnify, defend, and hold harmless M.A.D., its affiliates, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to your Content, your use of the platform, or your breach of this Agreement.

8. Limitation of Liability

To the fullest extent permitted by law, M.A.D. is not liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or lost data, arising from your use of the platform or this Agreement. Our total liability to you for any claim shall not exceed the net amount M.A.D. actually paid to you in the 12 months preceding the event giving rise to liability.

9. Termination

Either party may terminate this Agreement at any time. Upon termination, your profile and Content will be removed from public display, but M.A.D. may retain copies as required by law or to complete pending transactions.

10. Changes to This Agreement

M.A.D. may update this Agreement from time to time. If we make material changes, we will notify you by email or through the platform. Continued use of selling features after changes means you accept the updated Agreement. We may require you to re-accept the Agreement before receiving new payouts.

11. Governing Law

This Agreement is governed by the laws of the State of Delaware, USA, without regard to its conflict of laws principles. Any disputes will be resolved in the state or federal courts located in Delaware.

12. Entire Agreement

This Agreement, together with our Privacy Policy and any additional terms presented to you for paid services, constitutes the entire agreement between you and M.A.D. regarding the sale of your music through the platform.
